What is DAO? Advanced

A DAO, or decentralised autonomous organisation, is a group that coordinates through on-chain rules rather than a company hierarchy. Members typically hold governance tokens, submit proposals and vote on them, with approved decisions executed by smart contracts. In practice most DAOs are less autonomous than the name suggests, and voting power often sits with a few large holders.

The mechanics are fairly consistent. A treasury is held by contracts rather than in a bank account, holders of a <a href="/glossary/governance-token/">governance token</a> submit proposals, a vote runs for a fixed window, and if quorum and threshold are met the proposal executes automatically. Nobody has to trust a treasurer to honour the outcome, because the outcome is the transaction.

The label covers very different things. Some DAOs govern a live protocol and vote on parameters such as fees or collateral rules. Others exist to distribute grants, commission work, or pool money to buy something collectively. Membership may be open to anyone who buys a token, or gated by a record of contribution, and the cultural distance between those models is considerable.

Governance in practice is messier than the diagram. Turnout is often low, so a small and motivated group decides outcomes, and where tokens are concentrated a single <a href="/glossary/whale/">whale</a> or a handful of early investors can carry a vote alone. Many organisations run sentiment polls off-chain and then have a small multisig execute the result, which is efficient and quietly reintroduces the trusted intermediary the structure was meant to remove.

Treat the surrounding claims carefully. A governance token is not equity, rarely carries a claim on revenue, and usually confers no legal ownership of anything. Legal status varies by country, and in some places active participants may carry more liability than they expect. A treasury denominated largely in the organisation's own token can also shrink fast when that token falls, taking the budget with it. Real <a href="/glossary/decentralization/">decentralisation</a> is a spectrum, not a badge.

Is a DAO a legal entity?

Usually not by default. A few jurisdictions have created wrappers that give a DAO recognised legal form, and many projects sit inside a foundation or association for exactly that reason. Where no wrapper exists, courts may treat active participants as a general partnership, which can mean personal liability. It varies widely by country and is a question for a lawyer rather than a forum.

Does one token always equal one vote?

That is the common default but not the only design. Some organisations weight votes quadratically to blunt the advantage of large holders, some grant more weight the longer tokens are locked, and some issue non-transferable membership instead. Each scheme trades off differently between capital, commitment and capture, so check which one a given DAO actually uses.
